Terms of Service
The rules and guidelines governing your use of Algorythm’s services.

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, online platforms, communications, events, programs, and related services made available by Algorythm Inc. (“Algorythm,” “we,” “our,” or “us”), including https://algorythm.org, any related subdomains, and any associated learning, registration, community, and event platforms we operate or use (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Who We Are
Algorythm Inc. is a mission-driven nonprofit organization focused on supporting and advancing the careers of Black software engineers and related technical communities through educational programming, events, mentorship, office hours, study programs, volunteer initiatives, and related resources.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use the Services unless we expressly state otherwise for a specific program. By using the Services, you represent and warrant that:
- •you meet the applicable age requirement;
- •you have the legal capacity to enter into these Terms; and
- •your use of the Services will comply with all applicable laws and regulations.
If you access the Services on behalf of a company, school, nonprofit, or other organization, you represent that you have authority to bind that organization to these Terms.
3. Changes to the Services and Terms
We may modify these Terms from time to time. When we do, we will post the updated version and revise the “Last updated” date above. Your continued use of the Services after the updated Terms become effective means you accept the revised Terms.
We may also change, suspend, or discontinue any part of the Services at any time, including any event, study program, feature, or offering, with or without notice.
4. Accounts and Registration
Some features of the Services may require you to register, enroll, apply, or submit information through our website or through third-party platforms we use to administer programs, events, and community access.
You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
We reserve the right to suspend or terminate accounts, applications, enrollments, or access if any information you provide is inaccurate, misleading, outdated, or violates these Terms.
5. Programs, Events, Office Hours, and Community Participation
Algorythm may offer educational programs, cohort-based study groups, office hours, workshops, talks, AMAs, mock interview sessions, mentorship opportunities, volunteer initiatives, speaker opportunities, donation-funded programs, employer-sponsored cohorts, and related activities (collectively, “Programs”).
By participating in any Program, you acknowledge and agree that:
- •Program availability, eligibility, funding, sponsorship, schedules, instructors, mentors, speakers, curriculum, and format may change;
- •participation does not guarantee admission, selection, scholarship or sponsorship eligibility, continued access, certification, employment, internships, interviews, job offers, promotions, business outcomes, or other specific results;
- •mentors, instructors, volunteers, community hosts, and guest speakers may be independent volunteers, contractors, employees, or third parties and may change at any time;
- •you are responsible for evaluating and applying any educational, career, interview, technical, financial, or professional information provided through the Services;
- •we may remove you from a Program or community activity if we reasonably believe your conduct is disruptive, unsafe, unlawful, harassing, discriminatory, abusive, or otherwise inconsistent with our mission or community standards.
We may set separate guidelines, requirements, attendance expectations, cancellation rules, or codes of conduct for specific Programs, and those additional terms are incorporated into these Terms by reference.
6. Community Standards
You agree not to:
- •use the Services in any unlawful, fraudulent, harmful, or deceptive manner;
- •harass, threaten, stalk, intimidate, or abuse any person;
- •post or share content that is defamatory, obscene, hateful, discriminatory, or infringing;
- •impersonate any person or entity or misrepresent your affiliation;
- •interfere with or disrupt the Services or servers;
- •attempt to gain unauthorized access to any system or account;
- •scrape, crawl, harvest, copy, or systematically collect data from the Services except as expressly authorized in writing;
- •upload malicious code, malware, or harmful files;
- •use the Services to send spam or unsolicited communications; or
- •record, reproduce, redistribute, or exploit sessions, materials, or community interactions except as expressly permitted by Algorythm or applicable law.
We may investigate violations and take any action we deem appropriate, including suspension, removal from Programs, deletion of content, cancellation of registrations, and referral to law enforcement where appropriate.
7. User Content and Submissions
You may submit or upload content to us, including registration details, biographies, resumes, portfolios, assignments, questions, comments, messages, audio, video, recordings, testimonials, or other materials (collectively, “User Content”).
You retain ownership of your User Content, subject to the rights you grant below.
By submitting User Content, you grant Algorythm a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, publish, translate, display, perform, distribute, and otherwise use the User Content as reasonably necessary to:
- •operate, administer, and improve the Services;
- •review applications and administer Programs;
- •facilitate mentorship, office hours, and educational experiences;
- •communicate with you;
- •create internal records, analytics, and backups; and
- •comply with legal obligations and enforce these Terms.
If you voluntarily submit testimonials, reviews, quotes, success stories, photos, or similar promotional content to us, you also grant us the right to use that content in connection with our mission, outreach, fundraising, marketing, and community communications, unless you revoke that permission in writing for future use.
You represent and warrant that:
- •you own or control all rights necessary to submit the User Content;
- •your User Content does not violate any law or third-party right, including privacy, publicity, intellectual property, confidentiality, or contract rights; and
- •your User Content is accurate to the best of your knowledge and not misleading.
8. Session Recordings and Communications
Certain Programs, meetings, bootcamps, classes, mock interviews, office hours, or events may be recorded or transcribed for educational, quality assurance, training, safety, archival, operational, promotional, and public-facing purposes, including creating public clips and using recordings to improve, train, and support our programs and services. Where required by law, we will provide notice or obtain consent.
By participating in recorded sessions after receiving notice, you consent to the recording, storage, editing, publication, and use of those materials as described in our Privacy Policy and any Program-specific notices.
9. Fees, Donations, and Payment Terms
Some Services may be offered for free, donation-supported, member-only, fee-based, employer-sponsored, or subject to optional contributions. We reserve the right to charge fees for certain Programs or features at any time, provided that applicable pricing will be disclosed before you complete registration or payment.
Some Programs may be funded in whole or in part by donations, grants, scholarships, or employer sponsorships. We may determine eligibility, selection, continued participation, scope of benefits, and related requirements for those Programs in our sole discretion.
If you make a payment, donation, purchase, or other financial contribution through the Services:
- •you authorize us and our third-party payment processor to charge the amount presented to you;
- •you agree to provide valid and current payment information;
- •you are responsible for any taxes, bank charges, or transaction fees unless stated otherwise; and
- •except as required by law or as otherwise determined by us in our sole discretion, payments and donations are non-refundable.
Donations are voluntary and do not create any ownership, governance, advisory, or service entitlement rights unless explicitly stated otherwise.
10. Third-Party Platforms and Links
The Services may integrate with or link to third-party websites, platforms, and tools, including learning platforms, forms, payment processors, video conferencing tools, community platforms, social media services, and external resources. Your use of third-party services is governed by the applicable third party’s own terms and privacy practices.
We are not responsible for the availability, security, content, policies, or practices of third-party services, and links do not imply endorsement.
11. Intellectual Property
The Services, including our website, branding, logos, text, graphics, videos, curriculum, course content, session materials, designs, software, compilations, and other content provided by Algorythm (excluding User Content) are owned by or licensed to Algorythm and are protected by intellectual property and other applicable laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial, mission-aligned use.
You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, sell, license, or exploit any portion of the Services except as expressly permitted by us in writing or by applicable law.
12. Feedback
If you provide suggestions, ideas, improvements, or feedback regarding the Services (“Feedback”), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, incorporate, disclose, reproduce, distribute, and otherwise exploit that Feedback for any lawful purpose without compensation or attribution to you.
13. Educational and Career Disclaimer
The Services are provided for educational, informational, and community-building purposes only. Algorythm does not guarantee any particular learning outcome, interview performance, hiring result, compensation outcome, business result, visa outcome, credential, or professional advancement.
Any career guidance, interview preparation, technical instruction, resume feedback, mentorship, or community support is general in nature and should not be treated as legal, financial, tax, employment, immigration, mental health, or other regulated professional advice.
14. Accessibility and Reasonable Modifications
Algorythm aims to make its Services reasonably accessible. If you need accommodations or reasonable modifications to participate in a Program or event, please contact us in advance using the contact information listed below, and we will make reasonable efforts to support accessibility consistent with our resources and legal obligations.
15. Copyright Complaints
If you believe content on the Services infringes your copyright or other intellectual property rights, please send us a written notice that includes:
- •your contact information;
- •a description of the work you claim has been infringed;
- •the location of the allegedly infringing material;
- •a statement that you have a good-faith belief the use is unauthorized; and
- •a statement, under penalty of perjury where applicable, that your notice is accurate and that you are authorized to act.
We may remove or disable allegedly infringing material and terminate repeat infringers where appropriate.
16. Termination
We may suspend, restrict, or terminate your access to all or part of the Services at any time, with or without notice, if we reasonably believe:
- •you violated these Terms or Program rules;
- •your conduct creates risk, harm, or legal exposure for Algorythm or others; or
- •termination is necessary to protect our community, operations, mission, or legal rights.
You may stop using the Services at any time. Sections of these Terms that by their nature should survive termination will survive, including provisions on intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and general terms.
17. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. ALGORYTHM DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
We do not warrant that any content, Program, session, community interaction, or information made available through the Services will be complete, accurate, reliable, or suitable for your needs.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALGORYTHM AND ITS DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, INSTRUCTORS, MENTORS, CONTRACTORS, AGENTS, PARTNERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ALGORYTHM FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ALGORYTHM FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS (US $100). THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW, INCLUDING, WHERE APPLICABLE, LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, OR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE.
Some jurisdictions do not allow certain disclaimers or limitations of liability, so some of the above may not apply to you.
19. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Algorythm and its directors, officers, employees, volunteers, mentors, instructors, contractors, agents, partners, successors, and assigns from and against any claims, liabilities, damages, judgments, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or related to:
- •your use of the Services;
- •your User Content;
- •your violation of these Terms;
- •your violation of any law or regulation; or
- •your infringement or misappropriation of any third-party rights.
20. Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration in New York, New York, except that either party may bring an individual action in small claims court if eligible.
You and Algorythm waive any right to a jury trial or to participate in a class action, class arbitration, or representative proceeding to the maximum extent permitted by law.
21. Miscellaneous
- •Entire Agreement. These Terms, together with our Privacy Policy and any Program-specific policies or terms incorporated by reference, constitute the entire agreement between you and Algorythm regarding the Services.
- •No Waiver. Our failure to enforce any provision is not a waiver of future enforcement.
- •Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
- •Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, restructuring, asset transfer, or similar transaction.
- •Electronic Communications. You agree that we may communicate with you electronically where permitted by law.
- •Force Majeure. We are not liable for delays or failures resulting from causes beyond our reasonable control, including internet outages, labor disputes, natural disasters, epidemics, civil unrest, governmental actions, or platform failures.
